Questra provides an AI-powered survey programming platform that assists users in converting questionnaire documents (e.g., Word, PDF, Excel) into programmed surveys compatible with third-party survey platforms such as Decipher, ConfirmIt, Qualtrics, Alchemer, and others. The Service includes upload and processing of questionnaire content, AI-assisted programming (including logic, routing, and validation), and export or deployment of programmed surveys to the survey platform of your choice. The Service is provided on a software-as-a-service (SaaS) basis, and we may update features, pricing, or availability from time to time.
2. Eligibility and Accounts
You must be at least 18 years old and able to form a binding contract to use the Service. By using the Service, you represent that you meet these requirements. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us promptly of any unauthorized use of your account.
3. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Service in any way that violates applicable laws or regulations.
- Upload, submit, or transmit content that infringes any third party's intellectual property, privacy, or other rights, or that is defamatory, obscene, or harmful.
- Attempt to gain unauthorized access to the Service, other accounts, or our systems or networks.
- Use the Service to build a competing product or service, or to reverse engineer, scrape, or extract data from the Service except as expressly permitted.
- Interfere with or disrupt the integrity or performance of the Service or the data contained therein.

4. AI-Powered Features
The Service uses artificial intelligence and machine learning, including technology provided by third parties (such as OpenAI and Anthropic), to perform survey programming tasks. You acknowledge and agree that:
- No guarantee of accuracy or completeness. AI-generated outputs (including programmed surveys, logic, and routing) are provided "as is" and may contain errors, omissions, or inconsistencies. You are solely responsible for reviewing, testing, and validating all outputs before deploying surveys or relying on them for any purpose.
- Your content. You retain ownership of the questionnaire documents and other content you upload. By uploading content, you grant us a limited license to use, process, and store that content as necessary to provide the Service, to improve our models (subject to our Privacy Policy and any applicable opt-out), and to comply with law.
- Third-party AI. We use only AI models whose API terms prohibit the provider from using your content for model training. For example, we use Claude (Anthropic) and may use other providers that offer the same commitment. Your content is processed by these providers in accordance with their terms and our Privacy Policy, solely to deliver the Service.
- No legal or professional advice. The Service does not constitute legal, compliance, or professional advice. You are responsible for ensuring your use of the Service and any programmed surveys complies with applicable laws and your obligations to respondents and clients.
5. Intellectual Property
The Service, including its design, software, text, graphics, and other materials (excluding your content), is owned by Questra or our licensors and is protected by copyright, trademark, and other laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes in accordance with these Terms. You do not acquire any ownership rights in the Service. Our name, logo, and related marks are our trademarks; you may not use them without our prior written consent.
6. Payment and Pricing
Pricing for the Service is as described on our website and in any order or plan you accept. We may offer free evaluation credits or tiers; paid use may be charged per survey deployed or on another basis we specify. You agree to pay all fees associated with your use of paid features. Fees are generally non-refundable unless we state otherwise or are required by law. We may change pricing upon reasonable notice; continued use after changes constitutes acceptance. You are responsible for any taxes applicable to your use of the Service.
7. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DO NOT GUARANTEE THE ACCURACY, RELIABILITY, OR QUALITY OF ANY AI-GENERATED OUTPUTS; YOU USE SUCH OUTPUTS AT YOUR OWN RISK.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, QUESTRA AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, REVENUE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IN SUCH JURISDICTIONS, OUR LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
9. Indemnification
You agree to indemnify, defend, and hold harmless Questra and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Service, (b) your content or your violation of any third party rights, (c) your violation of these Terms or applicable law, or (d) any dispute between you and a third party relating to survey programming, deployment, or respondent data. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, at your expense.
10. Termination
You may stop using the Service at any time. We may suspend or terminate your access to the Service, with or without cause or notice, including for violation of these Terms. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive (including Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law) will survive termination.
11. Governing Law and Disputes
These Terms are governed by the laws of the Commonwealth of Massachusetts, United States, without regard to conflict of law principles. Any dispute arising out of or related to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Massachusetts, and you consent to the personal jurisdiction of such courts. You waive any right to a jury trial and any right to participate in a class action.
12. Changes to These Terms
We may modify these Terms from time to time. We will post the updated Terms on this page and update the "Last updated" date. For material changes, we will provide additional notice (e.g., by email or a prominent notice in the Service) when practicable. Your continued use of the Service after the effective date of changes constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service.

These Terms, together with our Privacy Policy and any order or plan terms you accept, constitute the entire agreement between you and Questra regarding the Service. Our failure to enforce any right or provision of these Terms will not be deemed a waiver. If any provision is held invalid or unenforceable, the remaining provisions will remain in effect. You may not assign these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets.
